Reference is made to our previous announcement dated 21 August 2014 pertaining to the incorporation of a new subsidiary, Menara MBMR Holdings Sdn. Bhd. (“MMHSB”). 

The Board of Directors of MBMR wishes to inform as follows : 

(1)       Information on Teknikhas Holdings Sdn. Bhd. (“THSB”) 

Teknikhas Holdings Sdn. Bhd. (Company No. 372024-W) is a company incorporated in Malaysia on 27 December 1995 and having its registered office at Lot 6.08, 6th Floor, Plaza First Nationwide, No. 161 Jalan Tun H.S. Lee, Kuala Lumpur, Malaysia. THSB is an investment holding company with interests in the development and construction industry. The authorised capital of THSB is RM2,000,000 comprising 2,000,000 ordinary shares of RM1.00 each of which 500,000 have been issued and paid up. It is a 100% owned subsidiary of Pembinaan Teknikhas Sdn. Bhd. (“PTSB”). The directors of THSB are Dr. Tan Chor Par and Koh Tse Ming @ Quek Tse Ming. 

PTSB was incorporated in Malaysia and having its registered office at Lot 6.08, 6th Floor, Plaza First Nationwide, No. 161 Jalan Tun H.S. Lee, Kuala Lumpur, Malaysia. The authorized capital of PTSB is RM5,000,000 comprising 5,000,000 ordinary shares of RM1.00 each of which 2,000,000 have been issued and paid up. PTSB is principally involved in the development and construction industry and their business includes their role as project manager and contractor for commercial developments.

(2)       Information on Meridien Residence Sdn. Bhd. (“MRSB”) 

Meridian Residence Sdn. Bhd. (Company No. 794353-M) is a company incorporated in Malaysia on 2 November 2007 and having its registered office at 1st Floor, No. 29 Jalan 3/62B, Bandar Menjalara, 52200 Kuala Lumpur, Malaysia. MRSB is an investment holding company with interests in property investment. The authorised capital of MRSB is RM500,000 comprising 500,000 ordinary shares of RM1.00 each, all of which have been issued and paid up. The shareholders and directors of MRSB are Lee Pik Chin and Timothy Liew Thau Ee. 

(3)        Source of funding of MBMR in Menara MBMR Holdings Sdn Bhd (“MMHSB”). 

The investments in MMHSB by MBMR are sourced from internally generated funds.

(4)       The eventual paid-up capital of MMHSB 

The eventual issued and paid-up capital of MMHSB will be RM1,000,000 (1,000,000 ordinary shares of RM1 each), with shareholdings as follow:
