The Board of Directors of MBMR wishes to update the followings in regards to the Joint Venture Agreement (“JVA”) entered into with Hino Motors, Ltd. Japan (“HML”) on 28 September 2012:

1. 1.        FORMATION OF JOINT VENTURE COMPANY (“JVC”)

A JVC has been incorporated in accordance with the provisions of the JVA. The parties to the JVA, HML and MBMR, agreed to use MBMR’s existing wholly-owned subsidiary, MBMR Manufacturing Sdn. Bhd. to be converted into the JVC under a new name “Hino Motors Manufacturing (Malaysia) Sdn. Bhd”.

1. 2.        INCREASE IN PAID-UP CAPITAL OF THE JVC

Hino Motors Manufacturing (Malaysia) Sdn. Bhd. (formerly known as MBMR Manufacturing Sdn. Bhd.)(“HMMMSB”) increased its issued and paid-up capital today from RM2.00 comprising two (2) ordinary shares of RM1 each to RM78,700,000 comprising seventy eight million and seven hundred thousand  (78,700,000) ordinary shares of RM1 each.

1. 3.        CHANGE IN SHAREHOLDINGS OF THE JVC

HML and MBMR has fully subscribed to the shares in the JVC. The shareholding in the JVC has been changed consistent with the JVA as follows:

This announcement is also made pursuant to Bursa Listing Requirements under Chapter 9.19 (24) as MBMR Manufacturing Sdn. Bhd.has ceased to be a subsidiary of MBMR with effect from today.
